This full-time, direct hire position is responsible for drafting, reviewing, and negotiating new contracts, interpreting existing contracts, managing external counsel, and advising on legal and corporate compliance matters for multiple companies located in the United States of America, Mexico, Brazil, France, Germany, the Czech Republic, the Netherlands, and Tunisia. This position reports directly to the Legal Director for Cabin Interior Solutions division.
Currently doing business in over 20 countries, the Zodiac Aerospace group has 35,000 employees. The group’s growth is rooted in a strong culture where teamwork, responsibility, and reactivity are encouraged. This position will support the Cabin Interior Solutions division, part of Zodiac Aerospace’s Cabin branch, and will be based in Huntington Beach, California.
Summary of Duties:
The required responsibilities listed below will be managed directly by this position.
New contract attainment includes the following responsibilities/activities:
Draft and review contractual and pre-contractual documents and amendments, including without limitation non-disclosure agreements, sales agreements, request for information/request for proposal terms and conditions, letters of agreement, memoranda of understanding, settlement agreements, product support agreements, services agreements, licensing agreements, facility leases, purchase order / invoice terms and conditions, and consultant agreements.
Organize, manage, and document the review of contract exhibits by all affected stakeholders.
Coordinate with upper management, operations, finance, contracts, intellectual property, marketing/sales, engineering, product support, purchasing, export compliance, and quality departments to devise and implement appropriate business strategies.
Lead or participate in negotiations face-to-face, online, via video conference, telephone, or email.
Validate final signature versions, secure corporate sign-off, and collect signatures.
File and manage hardcopy contractual documents and electronic databases in accordance with corporate procedures.
Interpretation of existing contracts includes the following responsibilities/activities:
Support contracts department personnel (directors/managers/administrators) on questions related to purchase order review and processing, in-scope/out-of-scope work, proposal generation, price escalation calculation, and other contract interpretation questions.
Draft and revise business letters.
Litigation management includes the following responsibilities/activities:
Select, retain, and correspond with outside counsel to handle litigation matters and to advise on foreign laws.
Implement litigation holds and discovery measures.
Brief upper management on case status and strategy; obtain clearance for proposed settlement amounts.
Attend mediation meetings, depositions, and court hearings.
Review and approve outside counsel invoices.
Render legal advice to and liaise with upper management, operations, finance, human resources, contracts, intellectual property, marketing/sales, engineering, product support, purchasing, certification, export compliance, and quality departments, including on matters pertaining to corporate compliance, FCPA, and FAR/DFAR.
Write and administer corporate operating procedures pertaining to the legal department, and be subject to internal and external quality audits.

Education: JD, active member of the State Bar of California
Experience: 6-8 years of experience, including in a legal department for a commercial aerospace company or equivalent industry.
Computer Skill: Microsoft Office.
Does require fluent communication in English language.

Relocation to another facility may be required.
